Welcome to Smart Lens Media ("Company", "we", "us", or "our"). By accessing our website, purchasing our products, or engaging our services (including aerial photography, videography, website management, and marketing automation), you agree to be bound by the following Terms of Service ("Terms"). Please read them carefully.
1. Services & Engagement
Scope of Work: The specific deliverables, fees, and timelines for any project will be governed by a separate written agreement, invoice, or Service Contract. These Terms apply generally to all engagements.
Drone Operations: All aerial services are subject to federal (FAA), state, and local regulations. Flight operations are highly dependent on weather conditions, airspace restrictions, and safety parameters. We reserve the absolute right to postpone or cancel a flight if conditions are deemed unsafe or illegal by our licensed pilots.
2. Payment Terms, Fees & Subscriptions
One-Time Project Fees: All one-time projects, individual media shoots, or single-service assignments must be paid in full upfront before any work or scheduling begins. No job will be dispatched, planned, or executed until full payment is received.
Monthly Subscription Billing: For ongoing services (such as website maintenance, social media management, or automated lead generation campaigns), fees are billed on a recurring monthly subscription basis. Subscriptions are billed in advance on the same calendar day each month.
Payment Authorization: By providing your payment method, you authorize Smart Lens Media to automatically charge the recurring monthly fee until the service is formally cancelled or terminated in accordance with our Cancellation Policy.
Late Payments: Late payments for recurring services may incur interest or result in an immediate temporary suspension of services (such as website maintenance or active lead generation campaigns) until the account is brought current.
3. Cancellation, Rescheduling & Forfeiture
One-Time Projects (Strict 24-Hour Policy): Notice of cancellation or postponement by the Client must be made at least 24 hours prior to the scheduled start of the job.
Forfeiture of Payment: Failure to provide a minimum of 24 hours' notice will result in the complete forfeiture of the upfront payment. This policy is strictly enforced due to the extensive logistics, advanced scheduling, and critical preparations required to deploy a mission. These pre-job costs and actions include, but are not limited to:
- Securing official authorization and clearance with the FAA to fly.
- Filing and obtaining specific airspace waivers needed to execute the mission.
- Electronic prep work, hardware calibration, and software mission planning.
- Allocating and binding mandatory commercial flight and liability insurance for the specific job site.
Weather Disruptions: If a drone mission cannot be flown due to adverse weather or sudden FAA flight restrictions, it will be rescheduled at no additional cost to the Client. This is determined solely by the Pilot in Command.
Subscription Cancellation: For recurring monthly services, either party may cancel the agreement by providing at least 30 days' written notice prior to the next scheduled billing cycle. If notice is given less than 30 days before the next billing date, you will be billed for the following month, and services will continue through the end of that final billing cycle.
Termination for Cause: We reserve the right to suspend or terminate services immediately, without prior notice, if a client violates these Terms, fails to pay invoices, or engages in unlawful or abusive conduct.
4. Intellectual Property Rights
Media Usage: Unless specified otherwise in a signed contract, Smart Lens Media retains the copyright to all raw and edited footage, imagery, and digital assets created during performance.
Client License: Upon final payment, the Client is granted a non-exclusive, perpetual, royalty-free license to use the delivered media/deliverables for their standard business marketing purposes.
Restrictions: Clients may not resell, sub-license, or distribute raw unedited files to third parties without prior written consent. We reserve the right to use any captured media for our own promotional and portfolio purposes.
5. Client-Provided Assets & Materials
Ownership and Licensing: If you provide text, photos, logos, trademarks, music, or other assets ("Client Materials") to us for integration into websites, marketing campaigns, or video projects, you warrant that you own the rights to these materials or have obtained all necessary licenses and permissions to use them.
Indemnification for Third-Party Claims: You agree to fully indemnify and hold harmless Smart Lens Media against any claims, lawsuits, or losses arising from copyright infringement, trademark violations, or unauthorized use of any materials you provide to us.
6. Limitation of Liability
To the maximum extent permitted by law, Smart Lens Media, its owners, and partners shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business interruption, arising out of the use or inability to use our services.
Our total liability for any claim arising out of a specific project shall not exceed the total amount actually paid by the Client for that specific project.
7. Indemnification
You agree to indemnify, defend, and hold harmless Smart Lens Media and its affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from your misuse of our services, violation of these Terms, or infringement on any third-party rights.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
